COMMISSION AGREEMENT FOR BOEING 727-100 S/N 20115 N908JE THIS COMMISSION AGREEMENT ("agreement") entered into this day of November, 2013 by and amongbetween JEGE, Inc. f"IEGE"), Equus Global Aviation LLC ("Equus") and BlackRock Global Services, LLC ("BlackRock"). WITNESSETH WHEREAS, BlackRock glebal-SepAc-esr l.1.6-has introduced the gProspective uPurchaser, Mr. Adolfo Diaz, 4790 Holdings LLC {the "Purchaser"). for the purchase of one BOEING 727-100 S/N 20115 N908JE Aircraft {the "Aircraft") which is currently owned by JEGE-ie. and represented for sale by Equus: and Global Aviation, LLC WHEREAS, BlackRock Glebal-Sepvic-es41.6-has agreed to a brokerage commission fee of $100,000 USD subject to adjustment as hereinafter provided. -to be paid by JEGE;-I upon the-sale of said Aircraft to the Purchaser by December 31.2013 for a purchase price agreed to JEGE and subject to the other terms and conditions provided herein; and WHEREAS the undersigned parties desire to memorialize their Agreement in writing so far as it pertains to a commission fee to be paid by JEGEr lee to BlackRock-Glebel-Serviees. NOW THEREFORE, in consideration of the foregoing and the mutual covenants, terms and conditions contained herein and other good and valuable consideration, the receipt and sufficiency of which is-are-hereby acknowledged, the undersigned parties hereto agree as follows: 1. That Insured Aircraft Title Service, agreed to act as escrow agent for the sale of the Aircraft by BOSING-72-740434404-20-14544908W-form-JEGEr Ine and or assigns to the PurchaserMr-rAeleife-Diazr 47.90-14el l.G and or assigns. 2. That only in the event of immediately-upen-a closing on December 31.2013 of the sale of the Aircraft by JEGE to Purchaser for a purchase price agreed to by Seller said air-er-aft-as-elesc-r-il)e€1-i.n-par-agr-aph4-abeve then promptly following the completion of said closing. JEGE144frhereby irrevocably authorizes Insured Aircraft Title Services to pay BlackRock Glebal-Ser-1.4ees41.6-$100,000 USD from the proceeds of the sale and that sum shall be distributed simultaneously with all other sums from escrow via wire transfer at closingi_provided_however_that if the net oroceeds of sale to be received by JEGE. after payment of all commissions to Equus and BlackRock. plus any other costs, fees. expenses and other payments required to be paid by JEGE in respect of the Aircraft or otherwise pursuant to the aircraft purchase agreement providing for such sale. would be less than $2,000,000. then the amount of the commission to be paid to BlackRock pursuant to this Agreement shall be reduced by an amount equal to the difference between $2.000.000. minus the actual net proceeds of sale. so that the net proceeds of sale to be received by IEGE will equal $2.000.000. 3. That the undersigned parties hereby further agree that the terms of this Agreement are confidential and shall not be disclosed to any personethe not a party to this Agreement, except to the attorneys. accountants. professional advisors. employees and other representatives of the parties hereto. and/nr in connection with litiptinn arising out of this Agreement or the sale of the Aircraft. and/or under subpoena or other order issued by a court of competent jurisdiction. That this agreement may be signed in counterparts which, when taken together, shall constitute the whole Agreement, and the signatures transmitted by facsimile or in prlf form by email shall be sufficient to bind the parties hereto. 5. This Agreement contains the entire agreement between the parties and there are no representations, promises, or agreements, oral or otherwise, except as set forth herein. Ally and all prior representations, promises or agreements, whether written nr oral with respect to the subject matter hereof are null and void and shall be superseded in their entirety by this Agreement.
