Attached is the Intial Brief I wrote for Foreclosure Freesearch challenging a preliminary injunction that
prohibited the company from cashing out two minority shareholders after the majority shareholder
effected a reverse stock split. Bob Critton represented the company in the trial court. After hearing
oral argument in January, the Fourth District Court of Appeal issued a decision yesterday reversing
and vacating the injunction. This case made new law in Florida because it is the first case to interpret
and apply a new, complex statutory scheme permitting majority shareholders to get rid of minority
shareholders.
