Jeffrey, I wanted to follow-up on our conversation today regarding the S-76D. Here's the best information I can
give you on the aircraft:
I. There are currently 20/25 units under contract which will be delivered outside the United States, primarily to
the Middle East.
2. Sikorksy has one S-76D model under contract for the northeast. There are eight additional position
agreements like yours they are attempting to close in the northeast.
3. Outside of the northeast, there are approximately 40 additional position agreements that are in negotiation.
4. Should you elect to go forward, your delivery position would be approximately SIN 29. And also Sikorsky
says it would be a green delivery in October of 2011 and a final delivery in May/June of 2012. I would add
seven or so months to the green delivery making it second quarter of 2012 and probably first quarter of 2013 for
final delivery. This is my personal experience. Nothing ever delivers on time and you certainly know that as
well as I do.
Here is the play on the position agreements as I see them. Because of Sikorsky's position in the corporate market
which is primarily driven in the northeast US, they are only offering introductory pricing discounts to the current
position holders, of which you are one. Your slot is being offered to you at $12.12 million. The retail list price
for this helicopter, except to the northeast position holders, is approximately $14.3 million.
In your case, the options from a standard DL VIP to a JE VIP are approximately $1.6 million. So in theory even
at the discounted price, you would pay $13.72 million. I know we can get that number down to the $13.5
million range. Were it not for the $12.12 million discount price to you, the price for a JE completed D model
would be somewhere in the $15.9 million range. As we discussed, I think the real play is to tie up the D model
slot at the $ 12.12 million price, let the market heat up a little, and if you choose not to buy it, you would be
almost $2 million below retail and even if Sikorsky discounted that number a little bit, you would still be well
ahead of the market with the opportunity to either sell your position or complete the helicopter to your
specifications and take delivery.

The payment schedule would be the same as your previous purchases:
20% down at contract execution
80% of green value at title transfer or green delivery
40% completion advance at title transfer or green delivery
40% at final completion acceptance
I suggest this is purchased in a single purpose LLC. That will allow us to sell the LLC and there's nothing
Sikorsky can do to prevent it. I do this to them all the time but don't tell them I told you.
Lastly we need to have this signed and deposited not later than March 10, 2010 because they are going to close
the door on these deals at that time.
