Thank you for your letter of 03/06/2015 the overdue accounts for the period ending 30/06/2014.
As the company is required to remain on the register, the proposed strike off action has been
discontinued. The failure to file accounts within the statutory time allowed is a criminal offence but
I will defer any prosecution action for 28 days from the date of this letter.
If the company record is not brought up-to-date by that time, the directors may face criminal
proceedings. Conviction of this offence will result in a criminal record and a fine of up to £5,000
for each document not delivered on time.
Please note that this deferral of prosecution action does not extend or alter the original statutory
filing deadline. As the accounts are already late, a civil late filing penalty will automatically be
incurred upon their receipt at Companies House. The amount of the penalty increases with the
length of delay in delivery and is separate to any criminal proceeding being considered against the
directors. Failure to comply with the filing requirements of the 2006 Companies Act in consecutive
years will result in the penalty being doubled for the current year's accounts.

As a director of the above company, you are personally responsible for delivering documents to Companies
House on time. However, the following is overdue:

Unless you deliver the documents, in the correct format, within 28 days of the date of this letter, the Prosecuting
Solicitor may take legal proceedings against you. A summons could be issued without further warning
letters
being sent to you, and the charges will include any other documents which become overdue after the date
of this
letter. If convicted, you will acquire a criminal record and could receive a potential unlimited fine
for each
offence i.e. each document not delivered on time. You could also be disqualified from acting as a director
of any
company for up to 5 years, if the Court considers this appropriate in your case.
Please note that:
N You must deliver accounts whether or not the company traded during the period.
• In addition to legal proceedings against directors, the company itself incurs an automatic financial penalty
when accounts are delivered late. This applies to all companies, regardless of their size, nature of business,
or
trading status. As the amount increases with the period of delay, you should deliver the overdue accounts as
soon as possible. Where there is a failure to comply with filing requirements of the 2006 Companies Act in
consecutive years, the penalty will be doubled for the current year's accounts.
